Understanding your transactions and M&A tax strategy to mitigate risk and capture value

Middle market companies pursuing mergers, acquisitions or divestitures face tax decisions that can directly shape transaction value and post-close performance. M&A tax services help buyers and sellers identify potential exposures, structure deal transactions efficiently and capture value from diligence through closing—and beyond.

RSM advises on the tax aspects of transactions across the deal lifecycle, including support across jurisdictions for cross-border transactions and internationally active companies.

Critical deal considerations

RSM’s M&A tax professionals help you plan the transaction, manage potential tax risks and derive value from diligence through closing—coordinated with our Washington National Tax, state and local tax, and international tax teams.

Frequently asked questions

What are the tax implications of M&A?
Every M&A transaction can have federal, state, international and indirect tax consequences—from gain recognition and basis step-up to transfer pricing, sales tax and employment tax exposure. The transaction structure, such as stock versus asset acquisitions, taxable versus tax-free transactions and domestic versus cross-border transactions, determines who bears the tax risk and cost and whether attributes carry over.
What is M&A tax due diligence and what does it include?
M&A tax due diligence is a buyer- or seller-led review of a target company’s tax positions, filings and potential exposures. A typical scope often includes federal income tax, state and local tax matters, including income, franchise, sales and use, property and payroll taxes, as well as international tax considerations such as transfer pricing, permanent establishment and withholding tax. Reviews may also include credits and incentives, as well as transaction-specific items such as tax attribute analysis and transaction cost analysis.
What are the tax considerations for carve-outs and complex divestitures?
Carve-outs add complexity because the target often lacks stand-alone tax history. Considerations include separating tax attributes, tax registrations and applications, designing transition service agreements, allocating purchase price across jurisdictions, managing value-added tax (VAT) and goods and services tax (GST) implications on intercompany transfers and prepositioning entities for internal restructurings to facilitate the sale.
How do you manage cross-border tax risk in an acquisition?
Cross-border deals require coordinated planning across each jurisdiction: local-country diligence, transfer pricing review, withholding and treaty analysis, GILTI/Subpart F/Pillar Two modeling, and post-close integration of legal entity, finance and enterprise resource planning (ERP) structures. RSM’s global member firm network provides on-the-ground specialists in each market.
